1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Unblocked Brands, Inc. ("Unblocked," "we," "our," or "us") governing your access to and use of the Pique platform and all related products and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

Pique provides a suite of marketing and content tools, including but not limited to:

• Pique Platform: AI-powered content discovery, social listening, and marketing insights.
• Credits System: Prepaid credits used to access premium features and AI capabilities.
• Subscription Plans: Tiered subscription plans with varying feature access.
• Self-Service Products: On-demand marketing services including Reddit Marketing and Instagram Boost campaigns.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Keep your password confidential and secure
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or remain inactive for extended periods.

4. Billing and Payments

4.1 Payment Processing

All payments are processed securely through our payment provider. Our payment processor handles:

• Payment processing and transaction security
• Sales tax, VAT, and other applicable taxes
• Invoice generation and delivery
• Currency conversion where applicable

4.2 Pricing

All prices are displayed in USD unless otherwise indicated. Prices are subject to change with reasonable notice. Existing subscriptions will be honored at the current rate until the next renewal.

4.3 Taxes

Applicable sales tax, VAT, or other taxes will be calculated and collected based on your location. The final amount including taxes will be displayed at checkout.

5. Credits

5.1 Purchasing Credits

Credits are a prepaid balance used to access AI features and premium capabilities within the Pique platform. Credits can be purchased in packages or included as part of subscription plans.

5.2 Credit Usage

Credits are consumed when you use certain features. The credit cost for each action is displayed before use. Once consumed, credits cannot be restored except in cases of technical error.

5.3 Credit Expiration

Purchased credits do not expire as long as your account remains active. Credits included with subscription plans may expire at the end of each billing period and do not roll over unless otherwise specified.

5.4 Credit Refunds

Refunds for purchased credits are handled on a case-by-case basis. Please see our Refund Policy for details.

6. Subscriptions

6.1 Billing Cycles

Subscriptions are billed on a recurring basis (monthly or annually) based on the plan selected. Your subscription will automatically renew at the end of each billing period unless cancelled.

6.2 Automatic Renewal

By subscribing, you authorize us to charge your payment method automatically for each renewal period. You will receive email reminders before renewal.

6.3 Plan Changes

You may upgrade or downgrade your subscription at any time. Upgrades take effect immediately with prorated billing. Downgrades take effect at the start of the next billing period.

6.4 Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access to paid features until the end of your current billing period. No partial refunds are provided for unused time except as described in our Refund Policy.

7. Self-Service Products

7.1 Reddit Marketing

Reddit Marketing campaigns are executed according to the specifications you provide. Delivery times are estimates and may vary based on platform conditions. We do not guarantee specific engagement metrics or outcomes.

7.2 Instagram Boost

Instagram Boost services increase visibility for your content. View counts are delivered as specified, though delivery timing may vary. We do not guarantee follower growth or engagement beyond the specified deliverables.

7.3 Campaign Content

You are solely responsible for ensuring that the content, URLs, and materials you submit comply with applicable laws and platform terms of service. We reserve the right to refuse campaigns that violate our acceptable use policies.

8. Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Distribute malware, spam, or harmful content
• Impersonate any person or entity
• Interfere with or disrupt the Services
• Attempt to gain unauthorized access to systems or data
• Use the Services for fraudulent or deceptive purposes
• Promote illegal activities, hate speech, or violence
• Scrape, data mine, or extract data without authorization

Violation of these terms may result in immediate suspension or termination of your account.

9. Intellectual Property

9.1 Our Property

The Services, including all software, content, designs, and trademarks, are owned by Unblocked Brands and protected by intellectual property laws. You are granted a limited, non-exclusive license to use the Services in accordance with these Terms.

9.2 Your Content

You retain ownership of content you submit to the Services. By submitting content, you grant us a worldwide, royalty-free license to use, process, and display that content as necessary to provide the Services.

9.3 AI-Generated Content

Content generated by AI features based on your inputs belongs to you, subject to any third-party rights. You are responsible for reviewing and verifying AI-generated content before use.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure. We do not guarantee specific results from marketing campaigns or AI features.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNBLOCKED BRANDS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Unblocked Brands and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Services, your content, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason with notice. Upon termination:

• Your right to use the Services immediately ceases
• Unused credits may be forfeited
• We may delete your account data after a reasonable retention period

Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall survive.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Any disputes arising from these Terms shall be resolved through binding arbitration in Los Angeles County, California, except that either party may seek injunctive relief in court. Class actions and class arbitrations are not permitted.

15. Changes to Terms

We may modify these Terms at any time by posting the updated Terms on our website. Material changes will be communicated via email or prominent notice. Your continued use of the Services after changes constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Services.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Unblocked Brands regarding the Services.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our consent. We may assign our rights without restriction.
